NOTICE OF PUBLIC HEARING NOTICE IS HEREBY GIVEN that on Wednesday, June 1, 2022 at 9:30 a.m., prevailing time, the Moon Industrial Development Authority (the "Authority") will hold a public hearing pursuant to the provisions of the Internal Revenue Code of 1986, as amended (the "Code"). The public hearing will be held by teleconference and is being held in connection with an application for the issuance by the Authority of one or more series of its tax-exempt and/or taxable revenue bonds or notes (the "Obligations"), as part of a plan of finance, for the benefit of the Borrower listed below. NOTICE IS HEREBY GIVEN THAT, AS PERMITTED BY THE CODE AND THE REGULATIONS PROMULGATED THEREUNDER AND RELEVANT REVENUE PROCEDURES, THE PUBLIC HEARING WILL BE HELD REMOTELY. PERSONS DESIRING TO EXPRESS THEIR VIEWS ON THE PROCESS SHOULD FOLLOW THE INSTRUCTIONS CONTAINED BELOW IN THIS NOTICE. Owner/Borrower: The proceeds of the Obligations will be loaned to Baptist Homes Society, a Pennsylvania nonprofit corporation and an organization exempt from federal income taxation pursuant to Section 501(c)(3) of the Code (the "Borrower"). The Borrower's principal address is 489 Castle Shannon Blvd., Pittsburgh, PA 15234. All of the property being financed with proceeds of the Obligations is or will be owned by the Borrower. Maximum Principal Amount of Proposed Issuance: The aggregate principal amount of the Obligations is not expected to exceed $32,000,000. Nature of Project: The proceeds of the Obligations will be used to finance the costs of a project (the "Project") consisting of financing all or a portion of the costs of: (a) refunding the outstanding Moon Industrial Development Authority Tax-Exempt Revenue Note, Series 2018A (Providence Point Phase II Project) (the "2018A Note") (including costs of paying interest rate swap termination payments); (b) capital expenditures relating to the renovation and conversion of the first floor of the existing Providence Point personal care facility to independent living apartment units and related capital expenditures and other miscellaneous capital expenditures relating to the Borrower's facilities; and (c) paying all or a portion of the related financing costs. Proceeds of the 2018A Note were used to finance all or a portion of the costs of (i) constructing, equipping and furnishing "Providence Point Phase II" or "Hamilton Tower" apartment tower on the Borrower's Providence Point campus in Scott Township, Allegheny County, Pennsylvania, which building includes approximately 70 independent living apartment units, (ii) expanding an existing dining room on the Providence Point campus, (iii) constructing, equipping and furnishing a prep kitchen in an existing facility on the Providence Point campus, (iv) renovation and expansion of the administrative and marketing areas of the Providence Point campus, and (v) miscellaneous related capital expenditures. Location of Facilities: The facilities and assets being financed or refinanced are or will be located at 500 Providence Point Blvd., Pittsburgh, PA 15243. The hearing will provide a reasonable opportunity for persons to be heard and express their views on the issuance of the Obligations. The Ordinance was amended from its proposed form upon final passage to reduces the amount of the incurrence to $5,437,000 and to attach the maximum debt service schedule in respect of the guaranty.
